Welcome to AKBBS Pty Ltd. These Terms of Service ("Terms") govern your use of the AKBBS website (https://akbbs.com.au/) and the professional accounting, bookkeeping, tax, and business support services ("Services") provided by AKBBS Pty Ltd ("AKBBS", "we", "us", or "our").

1. Acceptance of Terms
These Terms constitute a legally binding agreement between you and AKBBS. For professional services engagements, these Terms are supplementary to, and do not replace, the specific Engagement Letter or Service Agreement that will be provided to you and must be signed before the commencement of any paid services.
2. Services Provided
AKBBS provides professional accounting, bookkeeping, taxation, and business advisory services as agreed upon in a formal, written Engagement Letter.
- Scope of Services: The specific scope, deliverables, and fees for any Service will be detailed exclusively in the accompanying Engagement Letter.
- Reliance on Information: You acknowledge that the quality and accuracy of the Services we provide are dependent upon the completeness, accuracy, and timeliness of the information you provide to us.
3. Client Responsibilities
You agree to:
a. Provide Accurate Information: Provide all necessary financial records, documents, and information required for us to perform the Services promptly and accurately.
b. Timeliness: Ensure that all information and documentation are provided within the deadlines specified by us, especially concerning tax and compliance obligations (e.g., ATO deadlines).
c. Review and Approval: Review all reports, returns, and documents prepared by us for your approval before lodgement or finalisation. You remain ultimately responsible for the information contained in any statutory or tax documents.
d. Cooperation: Cooperate fully with AKBBS personnel in the performance of the Services.
4. Fees and Payment
a. Pricing: Our fees for professional Services will be set out in the Engagement Letter or other written agreement.
b. Invoicing: Invoices for Services will be issued according to the schedule specified in the Engagement Letter.
c. Payment Terms: Payment is due within the period specified on the invoice. We reserve the right to suspend or terminate Services for overdue payments.
d. Cost Recovery: You agree to reimburse AKBBS for all reasonable out-of-pocket expenses incurred in connection with the Services.
5. Confidentiality and Data Protection
a. AKBBS Confidentiality: We are bound by strict ethical and professional standards, as well as our Privacy Policy, to maintain the confidentiality of your financial and personal information.
b. Client Confidentiality: You agree not to disclose any confidential information relating to AKBBS's methods, processes, or proprietary information.
c. Privacy: The collection and use of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference.
6. Disclaimer of Legal Advice
AKBBS provides accounting, tax, and business advisory services. We are not a legal firm and do not provide legal advice. Our advice should not be relied upon as a substitute for professional legal counsel.
7. Limitation of Liability
a. Maximum Liability: To the maximum extent permitted by Australian law, AKBBS’s total aggregate liability to you for any loss or damage arising out of or in connection with these Terms, the Services, or the website, whether in contract, tort (including negligence), or otherwise, shall be limited to the fees paid by you for the Services to which the liability relates.
b. Exclusion of Indirect Loss: AKBBS shall not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising out of the use of our Services.
8. Term and Termination
a. Term: These Terms remain in effect as long as you use our Services or website.
b. Termination by AKBBS: We may terminate or suspend the provision of any Service immediately if you breach these Terms, fail to pay fees when due, or if we deem the working relationship to be unworkable or unethical.
c. Effect of Termination: Upon termination, any outstanding fees become immediately due, and we will, subject to professional lien rights and our legal obligations, return your records to you.
9. Intellectual Property
The website content, including all text, graphics, logos, and service marks, is the property of AKBBS Pty Ltd and is protected by Australian and international copyright laws. You may not reproduce, distribute, or create derivative works from our website content without our express written permission.
10. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia, and the parties submit to the exclusive jurisdiction of the courts of Victoria.
